4. Payment Terms
- Invoices are issued upon completion of services or at agreed milestones.
- Payment is due within 14 days of the invoice date unless otherwise agreed.
- Late payments may incur interest at a rate of 8% above the Bank of England base rate.
- If payment is not received within 30 days, we reserve the right to suspend services until the outstanding amount is settled.
5. Intellectual Property
- All creative materials produced by Kerf Ltd remain the property of Kerf Ltd until full payment is received.
- Upon full payment, intellectual property rights are transferred to the client, subject to any third-party rights.
- Drafts, concepts, and preliminary work remain the property of Kerf Ltd unless otherwise agreed in writing.
- Any third-party intellectual property incorporated in the work remains the property of its respective owner, and the client is responsible for obtaining the necessary licenses.
6. Client Responsibilities
- Clients must provide all necessary materials, information, and approvals promptly.
- Any delays caused by the client may result in an extension of deadlines or additional charges.
- Clients are responsible for ensuring that the content provided does not infringe on third-party rights.
7. Use of Creative Work
- Kerf Ltd reserves the right to use completed creative work for promotional purposes, including but not limited to display on our website and social media platforms.
- If you do not wish for your project to be used in this manner, please inform us in writing prior to project commencement.
- The client must ensure that any confidential or sensitive information is not included in the final work unless they have agreed to its use for promotional purposes.
8. Termination
- Either party may terminate the agreement with 30 days' written notice.
- Upon termination, the client is responsible for payment of all work completed up to the termination date.
- Kerf Ltd may terminate the agreement immediately if the client breaches any terms of this agreement or fails to make payment when due.
9. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from any cause beyond the reasonable control of the party, including but not limited to acts of God, war, terrorism, or industrial disputes. If the force majeure event continues for more than 30 days, either party may terminate the contract with written notice.
10. Dispute Resolution
In the event of a dispute, the parties agree to attempt to resolve the issue through negotiation or mediation before pursuing legal action. If mediation fails, the dispute shall be resolved in the courts of England and Wales.
11. Non-Solicitation
The client agrees not to solicit or hire any employee or contractor of Kerf Ltd directly involved in the provision of services for a period of 12 months following the completion of the services. This clause applies within the geographical area where Kerf Ltd operates.
12. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the contract. This obligation remains in effect even after the termination of the agreement.
13. Limitation of Liability
Kerf Ltd’s liability is limited to the amount paid by the client for the services provided. Kerf Ltd is not liable for any indirect, special, or consequential loss, damage, or expense arising out of or in connection with the use of our website or services, to the maximum extent permitted by law.
14. Entire Agreement
This agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.
15. Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
